What is a shelf company?

A shelf company is an entity that was registered and put on the shelf. This means it doesn't have assets and liabilities and has been registered with the sole purpose of being sold. All shelf entities we supply come with a guarantee that they have never traded and therefore have no asset and liabilities.

 

Why buy a shelf company?

The main reason for buying a shelf is when a person needs to do a business urgently and need a registration number immediately. For example, a shelf can be bought to apply for a tender or for an urgent business deal.

 

Shelf company

A shelf company has a name, registered addresses, two Directors and two Shareholders and a qualified Company Secretary pursuant to Section 139 of the Companies Act, 1965. If you buy a shelf, then it is compulsory to change the Directors/Shareholders addresses. You can also change the name, the principal business and the Company Secretary. Steps to purchase a Shelf Company

Guide for the takeover of your New Sendirian Berhad Company It is a simple process; you need to provide the following to purchase your shelf company:

Details of minimum of two shareholders/subscribers to the shares of the company (Section 4 of the Companies Act, 1965)
   
A minimum of two directors (Section 22 CA), with either Malaysian citizenship or foreign participants.
   
A company Secretary who can be either
  • An individual who is a member of a professional body prescribed by the Minister of Domestic Trade and Consumer Affairs or
  • An individual licensed by the Companies Commission of Malaysia (SSM)
   
Both the director and company secretary shall have their principal or only place of residence within Malaysia.
   
Age above 18 years old
   
NRIC – Identity card for Malaysian and passport copy of foreigners
   
A registered office address.
